1. Acceptance of Terms
By accessing and using Chores Ninja ("Service", "Platform", "we", "us", or "our"), you ("User", "you", or "your") accept and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Chores Ninja, LLC, a limited liability company registered in Durham County, North Carolina, USA. If you do not agree to these terms in their entirety, you must not access or use our platform. Your use of the Service signifies that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. ELECTRONIC ACCEPTANCE AND RECORDS: • By clicking "Accept," "I Agree," "Sign Up," or similar buttons, or by accessing or using the Service, you are providing your electronic signature and consent to enter into this legally binding agreement • You acknowledge that clicking acceptance buttons, checking boxes, or using the Service has the same legal effect as a handwritten signature • You consent to receiving and retaining all agreements, notices, disclosures, and communications electronically • You agree that electronic records satisfy any legal requirement that such communications be in writing • You may withdraw consent to electronic records by discontinuing use of the Service and terminating your account • You are responsible for maintaining the ability to access electronic records (compatible device, internet connection, email access) COMPANY INFORMATION: Chores Ninja, LLC 102 Roundtable Pl Morrisville, NC 27560 Durham County, North Carolina, USA
2. Service Description and Limitations
Chores Ninja is a neighborhood task-sharing platform that connects individuals who need assistance with everyday tasks ("Task Posters") with individuals willing to provide such assistance ("Helpers") in their local community. IMPORTANT LIMITATIONS: • We are a technology platform only and do NOT provide household services, labor, or employment • We are NOT a party to any agreements or transactions between users • We do NOT employ any helpers or task posters • We do NOT supervise, direct, or control any tasks performed • We do NOT guarantee the quality, safety, timeliness, or legality of any services • Users are independent third parties, NOT employees, agents, or representatives of Chores Ninja NO GUARANTEES OF SERVICE AVAILABILITY OR USER ACTIVITY: • We do NOT guarantee that any tasks will be posted on the platform • We do NOT guarantee that any helpers will view, apply for, or accept your posted tasks • We do NOT guarantee that any task posters will accept your applications • We do NOT guarantee platform availability, uptime, or uninterrupted access • We do NOT guarantee that you will find suitable tasks or helpers in your area • We do NOT guarantee any specific level of user activity, task volume, or platform traffic • The platform may be temporarily unavailable due to maintenance, technical issues, or other reasons • We reserve the right to discontinue the Service at any time without liability NOT AN EMERGENCY SERVICE: • Chores Ninja is NOT an emergency service and should NOT be used for urgent or emergency situations • For emergencies, ALWAYS contact appropriate emergency services immediately: - Medical emergencies: Call 911 or your local emergency medical services - Fire emergencies: Call 911 or your local fire department - Police emergencies: Call 911 or your local police department - Gas leaks, electrical hazards, or other immediate safety threats: Contact appropriate emergency services • Do NOT rely on this platform for time-sensitive, life-threatening, or emergency assistance • Response times for tasks posted on the platform are not guaranteed and may vary significantly • The platform is intended for non-urgent household tasks and everyday assistance only THIRD-PARTY SERVICES DISCLAIMER: • All services provided through the platform are performed by independent third-party users, NOT by Chores Ninja • We do NOT employ, supervise, direct, or control any helpers or service providers • We are NOT responsible or liable for the acts, omissions, errors, representations, warranties, breaches, or negligence of any third-party users • We do NOT guarantee the quality, reliability, suitability, or legality of services provided by third-party users • Any agreements, transactions, or relationships are solely between you and other users • We have NO involvement in, control over, or responsibility for user-to-user transactions or disputes • You interact with third-party users at your own risk and are solely responsible for evaluating and selecting service providers NO INSURANCE VERIFICATION: • Chores Ninja does NOT verify whether users have insurance coverage of any kind • We do NOT require, check, or confirm that users maintain liability insurance, workers' compensation insurance, professional liability insurance, or any other insurance • We make NO representations or warranties regarding the insurance status of any user • You are solely responsible for verifying that other users have adequate insurance coverage before engaging in any transactions or allowing them to perform services • We strongly recommend that helpers obtain appropriate insurance coverage and that task posters verify insurance before hiring • We are NOT liable for any damages, injuries, or losses arising from a user's lack of insurance or inadequate insurance coverage • You assume all risk related to uninsured or underinsured users NO FIDUCIARY DUTY: • Chores Ninja does NOT have a fiduciary relationship with you or any user • We owe NO fiduciary duties to users, including but not limited to duties of care, loyalty, good faith, or fair dealing beyond what is expressly stated in these Terms • Our role is limited to providing a technology platform that connects users • We do NOT act as your agent, trustee, advisor, or representative • We do NOT have any duty to monitor, supervise, or ensure the safety, legality, or quality of user interactions, tasks, or transactions • You are solely responsible for your own decisions, actions, and the consequences thereof • We are NOT obligated to act in your best interest or to protect you from risks associated with using the platform INDEPENDENT CONTRACTOR RELATIONSHIP: All users who post or perform tasks are independent contractors, not employees of Chores Ninja. This relationship is characterized by: • NO EXCLUSIVITY: You are free to use competing platforms, work for other services, or engage in other business activities at any time without restriction • NO MINIMUM WORK REQUIREMENTS: You have no obligation to post, accept, or perform any minimum number of tasks or hours • COMPLETE USER CONTROL: You have full autonomy to determine: - How tasks are performed (methods, techniques, and approach) - When tasks are performed (your own schedule and availability) - Where you work (you choose your service areas) - Whether to accept or decline any task for any reason - Your own rates and compensation terms (subject to mutual agreement with other users) - Your own tools, equipment, and supplies • NO DIRECTION OR SUPERVISION: Chores Ninja does not supervise, direct, control, or provide instructions on how to perform tasks • NO GUARANTEE OF WORK OR INCOME: We do not guarantee any specific volume of tasks, earnings, or consistent work • FREEDOM TO REFUSE: You may decline any task or user interaction without penalty or consequence • INDEPENDENT BUSINESS OPERATION: You operate your own independent business and are not integrated into Chores Ninja's business operations NOT PROFESSIONAL ADVICE: • Information, content, and services obtained through the platform are NOT professional advice of any kind • The platform does NOT provide legal, financial, medical, tax, accounting, engineering, architectural, or other professional advice • Users must seek appropriately licensed professionals (lawyers, accountants, doctors, licensed contractors, engineers, etc.) where required by law or when professional expertise is needed • Helpers on the platform are NOT licensed professionals unless explicitly stated and independently verified by you • Tasks requiring licensed professionals (e.g., electrical work, plumbing, legal services, medical care, structural repairs) must only be performed by properly licensed and insured professionals • We are NOT responsible for any decisions, actions, or consequences resulting from information or services obtained through the platform • You assume all risk for relying on any information or services provided by other users
3. User Eligibility and Age Requirements
MINIMUM AGE REQUIREMENT: You must be at least 18 years of age to register for and use Chores Ninja. No exceptions are permitted. By using this platform, you represent and warrant that: • You are at least 18 years old • You have the legal capacity to enter into binding contracts • All information you provide is accurate and truthful • You are not prohibited from using the Service under applicable laws Users under 18 years of age are strictly prohibited from creating accounts or using this platform under any circumstances. We reserve the right to verify age and terminate accounts that violate this requirement.
4. Account Registration and Security
ACCOUNT REQUIREMENTS: • You must provide accurate, current, and complete information during registration • You must promptly update your information if it changes • You are responsible for maintaining the confidentiality of your account credentials • You must not share your account or allow others to access it • You are solely responsible for all activities occurring under your account • You must immediately notify us of any unauthorized use or security breach PROHIBITED ACCOUNTS: • Creating multiple accounts to circumvent restrictions or bans • Impersonating another person or entity • Using false, misleading, or fraudulent information • Creating accounts through automated means or bots • Transferring, selling, or renting your account to others
5. User Conduct and Responsibilities
ALL USERS must: • Comply with all applicable local, state, federal, and international laws • Treat all users with respect, courtesy, and professionalism • Provide accurate information about tasks, skills, availability, and qualifications • Communicate clearly and honestly about expectations, requirements, and capabilities • Honor commitments and agreements made through the platform • Report violations, safety concerns, or suspicious activity immediately • Maintain appropriate insurance coverage for their activities • Keep proper tax records and report income as required by law YOU MUST NOT: • Discriminate based on race, color, religion, national origin, age, sex, gender identity, sexual orientation, disability, or any other protected characteristic • Engage in harassment, stalking, threats, or intimidation • Request, offer, or perform illegal activities or services • Solicit or engage in sexual services or activities • Use the platform for commercial solicitation unrelated to tasks • Post false, misleading, or deceptive information • Attempt to bypass or manipulate platform features or security • Collect or store other users' personal information without consent • Use the platform if you have been previously banned
6. Task Posters - Additional Obligations
If you post tasks, you additionally agree to: TASK DESCRIPTIONS: • Provide complete, accurate, and detailed task descriptions • Clearly state all requirements, expectations, and deliverables • Specify any special skills, equipment, or materials needed • Disclose any potential hazards or safety concerns • Update or cancel tasks promptly if circumstances change COMPENSATION: • Offer fair and reasonable compensation for services • Pay agreed-upon rates promptly after satisfactory completion • Not withhold payment as leverage or penalty without valid cause • Comply with all applicable wage and labor laws • Provide clear payment terms and methods upfront SAFE ENVIRONMENT: • Ensure the task location is reasonably safe • Warn helpers of any known hazards or dangers • Provide necessary safety equipment when applicable • Not require helpers to perform unreasonably dangerous tasks • Respect helpers' right to decline unsafe work LEGAL COMPLIANCE: • Ensure tasks comply with local laws, regulations, and ordinances • Obtain necessary permits or licenses for work performed • Not request illegal activities or services • Comply with labor laws if applicable (including for minor workers) • Maintain appropriate insurance for activities on your property
7. Helpers - Additional Obligations
If you work as a helper, you additionally agree to: SKILLS AND QUALIFICATIONS: • Accurately represent your skills, experience, and qualifications • Only accept tasks you are reasonably capable of performing • Possess any required licenses, certifications, or permits • Disclose any limitations that may affect your performance • Decline tasks that exceed your abilities or comfort level PERFORMANCE STANDARDS: • Complete tasks with reasonable skill, care, and diligence • Follow agreed-upon instructions and specifications • Complete work within agreed timeframes • Communicate proactively about delays or difficulties • Deliver quality work that meets reasonable expectations PROFESSIONAL CONDUCT: • Arrive on time or communicate delays immediately • Respect the property, privacy, and possessions of task posters • Use equipment and materials responsibly and safely • Clean up your work area upon completion • Protect confidential or sensitive information learned during tasks • Not solicit clients or conduct business outside the platform to avoid fees SAFETY: • Follow safety protocols and use appropriate protective equipment • Report unsafe conditions to the task poster immediately • Have the right to refuse tasks that appear unsafe or illegal • Maintain appropriate insurance for your activities
8. Payments, Fees, Taxes, and Insurance
PAYMENT ARRANGEMENTS: • All payments are arranged and processed directly between task posters and helpers • Chores Ninja does NOT process payments, hold funds, or act as a payment intermediary • Chores Ninja does NOT currently charge service fees or commissions • Payment methods, amounts, and timing are determined by mutual agreement between parties • We recommend discussing and agreeing on payment terms before starting work FUTURE CHANGES TO PAYMENT MODEL: • Chores Ninja reserves the right to introduce service fees, commissions, or subscription models in the future • Any such changes will require a minimum advance notice period of THREE (3) MONTHS before implementation • Notice will be provided via email to your registered account and prominent platform notifications • Your continued use of the platform after the notice period constitutes acceptance of the new fee structure • No retroactive fees will be charged for transactions completed before the implementation date • If you do not agree to new fees, you must discontinue use of the platform before the implementation date • Fee structures will be clearly disclosed and transparent PAYMENT DISPUTES: • Payment disputes are between the task poster and helper only • Chores Ninja is not responsible for payment collection, enforcement, or dispute resolution • Users are encouraged to document agreements and work completion • We may provide messaging records to assist in resolving disputes if requested EXPLICIT USER RESPONSIBILITIES - YOU ARE SOLELY RESPONSIBLE FOR: TAXES: • All federal, state, and local tax obligations related to your activities • Reporting all earnings to appropriate tax authorities (IRS, state agencies) • Making estimated tax payments if required • Maintaining accurate records for tax purposes • Determining your tax classification (self-employed, independent contractor, etc.) • Chores Ninja does NOT withhold taxes, issue 1099 forms, or provide tax advice • Consult a tax professional regarding your specific obligations INSURANCE: • Obtaining and maintaining appropriate insurance coverage for your activities • General liability insurance (strongly recommended for helpers) • Workers' compensation insurance if required by law • Professional liability insurance if performing specialized services • Auto insurance if driving for tasks • Verifying that your homeowner's or renter's insurance covers independent contractors on your property (task posters) • Any claims, damages, or losses not covered by insurance • Chores Ninja does NOT provide any insurance coverage TOOLS, EQUIPMENT, AND SUPPLIES: • Providing all necessary tools, equipment, and supplies to complete tasks • Maintaining tools and equipment in safe working condition • Replacing or repairing any equipment you damage • Securing tools and equipment to prevent theft or loss • Proper disposal of materials and waste • Costs associated with tools, equipment, and supplies SCHEDULING AND COORDINATION: • All scheduling, coordination, and communication with other users • Arriving on time or providing advance notice of delays • Managing your availability and calendar • Rescheduling or canceling arrangements (with reasonable notice) • Coordinating task details, expectations, and requirements • Time management and task completion within agreed timeframes
9. Prohibited Activities and Content
The following activities are strictly prohibited and may result in immediate account termination and legal action: ILLEGAL ACTIVITIES: • Requesting or performing any illegal services or tasks • Violating any local, state, federal, or international laws • Drug-related activities • Theft, fraud, or any criminal conduct • Unlicensed professional services requiring legal credentials HARASSMENT AND ABUSE: • Sexual harassment, advances, or solicitation • Threats, intimidation, stalking, or violence • Bullying, verbal abuse, or hostile behavior • Discrimination or hate speech • Unwanted contact after being asked to stop FRAUD AND DECEPTION: • Providing false or misleading information • Impersonating another person or entity • Creating fake reviews or ratings • Manipulating the platform for unfair advantage • Identity theft or using stolen payment methods PRIVACY VIOLATIONS: • Collecting, storing, or sharing others' personal information without consent • Recording or photographing users without permission • Sharing private communications publicly • Using personal information for purposes outside the platform PLATFORM ABUSE: • Spamming, soliciting, or commercial advertising • Attempting to hack, manipulate, or disrupt the platform • Creating automated bots or scrapers • Circumventing security measures or access controls • Attempting to recruit users to competing platforms
10. Reviews, Ratings, and User-Generated Content
REVIEWS AND RATINGS DISCLAIMERS: REVIEWS REFLECT INDIVIDUAL OPINIONS ONLY: • All reviews, ratings, comments, and feedback posted on the platform represent the personal opinions and experiences of individual users • Reviews are subjective and may not reflect your experience • We do NOT verify, endorse, or guarantee the accuracy, completeness, or reliability of any user reviews or ratings • Reviews may be based on limited interactions or incomplete information • User opinions do not represent the views or positions of Chores Ninja NO VERIFICATION OR ENDORSEMENT: • We do NOT independently verify or investigate the truthfulness of reviews • We do NOT endorse any specific users, services, or content based on reviews or ratings • High ratings do not guarantee quality, safety, or satisfaction • We do NOT conduct background checks, skill assessments, or quality audits based on reviews • Users are responsible for conducting their own due diligence regardless of reviews NO OBLIGATION TO RESOLVE REPUTATION DISPUTES: • We have NO obligation to investigate, mediate, or resolve disputes about reviews, ratings, or reputation • We are NOT responsible for negative reviews, low ratings, or damaged reputation • Disputes about review accuracy or fairness are between users • We may remove reviews that violate our content policies, but are not required to do so • We are not liable for any harm to reputation, business, or income resulting from reviews • You assume all risk related to your reputation on the platform USER RESPONSIBILITY: • You are solely responsible for evaluating other users based on all available information, not just reviews • Do not rely exclusively on reviews when making decisions • Contact users directly to ask questions and verify information • Trust your own judgment and instincts CONTENT REVIEW: Chores Ninja reserves the right, but is not obligated, to monitor, review, and moderate all user-generated content including: • Task postings and descriptions • Profile information and descriptions • Reviews and ratings • Messages and communications (when reported) • Photos and other media uploads PROHIBITED CONTENT: Content that violates our policies may be removed without notice, including content that: • Violates applicable laws or regulations • Infringes intellectual property rights • Contains false, misleading, or fraudulent information • Promotes illegal activities or services • Contains hate speech, harassment, or discriminatory language • Includes graphic violence, sexual content, or obscenity • Violates privacy rights of others • Contains spam, malware, or phishing attempts • Solicits services outside the platform to avoid potential future fees TAKEDOWN PROCESS: 1. REPORTING: Users may report inappropriate content by: • Using the report function within the platform • Emailing support@choresninja.com with details and evidence • Providing specific information about the violation 2. REVIEW: Upon receiving a report, we will: • Review the reported content within 3-5 business days • Investigate the context and severity of the violation • May request additional information from reporting or affected parties • Apply our policies consistently and fairly 3. ACTION: Based on our review, we may: • Remove or hide the offending content immediately • Issue warnings to the user who posted the content • Temporarily suspend the user's account • Permanently terminate the user's account for severe or repeated violations • Report illegal activity to law enforcement authorities • Take no action if content does not violate our policies 4. NOTIFICATION: • Users whose content is removed will generally be notified • Reporting users may be informed of the outcome • We are not obligated to provide detailed explanations for moderation decisions 5. APPEAL: Users may appeal content removal decisions by: • Contacting support@choresninja.com within 30 days • Providing reasons why the content should be reinstated • We will review appeals and respond within 7-10 business days • Our decisions on appeals are final COUNTER-NOTICE FOR COPYRIGHT CLAIMS: If you believe content was removed in error due to a copyright claim, you may submit a counter-notice including: • Your contact information and electronic signature • Identification of the removed content • A statement under penalty of perjury that removal was a mistake or misidentification • Consent to jurisdiction in Durham County, North Carolina LIMITATIONS: • We are not liable for failing to remove or for removing content • We are not required to monitor all content proactively • Users are responsible for backing up their own content • Removed content may not be recoverable • We may preserve removed content for legal or safety purposes DATA RETENTION AFTER CONTENT REMOVAL: • Removed content may be retained as required or permitted by law for: - Legal compliance and regulatory requirements - Dispute resolution and enforcement of agreements - Safety, security, and fraud prevention purposes - Evidence in legal proceedings or investigations • Retention periods vary based on the nature of the violation and legal requirements • Retained data is not publicly accessible but may be disclosed as required by law
11. Background Checks and Verification
CRITICAL NOTICE: Chores Ninja does NOT conduct criminal background checks, identity verification, or credential verification on users. We do NOT screen, vet, or verify users in any way. YOUR RESPONSIBILITY: • You are solely responsible for evaluating and selecting who you interact with • Exercise caution and good judgment when meeting strangers • Conduct your own background checks if desired • Verify credentials, licenses, and references independently • Meet in public places for initial meetings when possible • Trust your instincts - if something feels wrong, it probably is • Share meeting details with a trusted friend or family member • Report suspicious behavior immediately CONSIDERATIONS FOR TASK POSTERS: • Request and check references from helpers • Start with small, low-risk tasks to build trust • Do not leave helpers unsupervised with valuables • Verify helpers have appropriate insurance if needed • Use the platform messaging to document agreements CONSIDERATIONS FOR HELPERS: • Verify the legitimacy of task posters and locations • Inform someone of your location and expected return time • Decline tasks or situations that make you uncomfortable • Meet in public areas when possible before going to private residences
12. Assumption of Risk
BY USING CHORES NINJA, YOU EXPRESSLY ACKNOWLEDGE, UNDERSTAND, AND AGREE THAT YOUR USE OF THE PLATFORM AND ANY IN-PERSON INTERACTIONS WITH OTHER USERS INVOLVE INHERENT AND SIGNIFICANT RISKS. YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH: IN-PERSON INTERACTIONS: • Meeting strangers from the internet at private residences or other locations • Allowing strangers into your home or personal spaces • Entering the homes or personal spaces of strangers • Physical proximity to users whose backgrounds have not been verified • Interactions with users who may misrepresent themselves or their intentions • Communication and coordination with users you do not personally know PERSONAL SAFETY RISKS: • Physical injury, assault, or harm during task performance or meetings • Accidents, falls, or injuries from task-related activities • Exposure to hazardous materials, equipment, or conditions • Confrontations, disputes, or conflicts with other users • Medical emergencies or health issues during tasks • Transportation-related accidents when traveling to or from tasks PROPERTY AND FINANCIAL RISKS: • Theft, damage, or loss of personal property • Damage to your home, vehicle, or other possessions • Financial loss due to non-payment or payment disputes • Fraudulent transactions or scams • Unauthorized charges or identity theft • Loss of tools, equipment, or supplies • Costs associated with property damage or repairs LEGAL AND LIABILITY RISKS: • Civil lawsuits or legal claims from other users • Liability for injuries or damages caused to others • Violations of local laws or regulations • Disputes over contracts or agreements • Tax or regulatory compliance issues • Professional liability for services performed DATA AND PRIVACY RISKS: • Sharing of personal information with other users • Misuse of your contact information or personal data • Exposure of your home address or location • Privacy violations or unwanted contact • Recording or photography without consent OTHER RISKS: • Poor quality work or unsatisfactory task completion • No-shows, cancellations, or schedule disruptions • Miscommunication or misunderstandings • Disputes over task requirements or expectations • Damage to professional reputation • Emotional distress or psychological harm • Any other risks inherent in connecting with strangers online and meeting in person ACKNOWLEDGMENT: You acknowledge that: • Chores Ninja does NOT conduct background checks or verify user identities • Users may not be who they claim to be • User-provided information may be inaccurate or false • The platform cannot guarantee the safety, honesty, or reliability of any user • You are solely responsible for evaluating risks and taking appropriate precautions • You should trust your instincts and decline interactions that feel unsafe • You should take common-sense safety measures such as meeting in public, informing others of your location, and verifying identities BY USING THIS PLATFORM, YOU FREELY AND VOLUNTARILY ASSUME ALL SUCH RISKS, EVEN IF ARISING FROM THE NEGLIGENCE OF CHORES NINJA OR OTHERS, AND YOU EXPRESSLY AGREE THAT CHORES NINJA SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY RESULTING INJURIES, DAMAGES, LOSSES, OR CLAIMS. IF YOU DO NOT ACCEPT THESE RISKS, DO NOT USE THE PLATFORM.
13. Disclaimers of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CHORES NINJA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: • MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE • NON-INFRINGEMENT OF THIRD-PARTY RIGHTS • ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT • UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE SERVICE • QUALITY, SAFETY, OR LEGALITY OF TASKS OR SERVICES • ACCURACY OF USER-PROVIDED INFORMATION OR PROFILES • QUALIFICATIONS, BACKGROUND, OR CONDUCT OF USERS • RESULTS OBTAINED FROM USING THE PLATFORM • CORRECTION OF DEFECTS OR ERRORS WE DO NOT: • Guarantee any specific outcomes or results • Verify the identity, credentials, or background of users • Control the quality or safety of tasks performed • Endorse any specific users, tasks, or services • Guarantee that helpers will complete tasks satisfactorily • Guarantee payment between users USE AT YOUR OWN RISK: You acknowledge that use of this platform involves inherent risks, including but not limited to: property damage, personal injury, financial loss, unsatisfactory work, payment disputes, and interactions with strangers. You assume all such risks voluntarily.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: CHORES NINJA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR: • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES • LOSS OF PROFITS, REVENUE, DATA, OR USE • PERSONAL INJURY OR PROPERTY DAMAGE • DAMAGES ARISING FROM USER INTERACTIONS OR TRANSACTIONS • DAMAGES FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA • DAMAGES FROM ERRORS, MISTAKES, OR INACCURACIES OF CONTENT • DAMAGES FROM INTERRUPTION OR CESSATION OF SERVICE • DAMAGES FROM THIRD-PARTY CONDUCT OR CONTENT • DAMAGES FROM TASKS OR SERVICES ARRANGED THROUGH THE PLATFORM OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: • $100 USD, OR • The amount of fees (if any) you paid to Chores Ninja in the 12 months prior to the claim SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. INDEPENDENT CONTRACTORS: Task posters and helpers are independent third parties. Chores Ninja is not liable for their acts, omissions, negligence, or any agreements between them.
15. Indemnification
You agree to defend, indemnify, and hold harmless Chores Ninja, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, and partners from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: • Your use or misuse of the platform • Your violation of these Terms • Your violation of any third-party rights, including intellectual property or privacy rights • Your violation of any applicable laws or regulations • Any tasks you post or perform • Any content you submit or share • Your interactions with other users • Any disputes between you and other users • Your breach of representations or warranties • Negligence or willful misconduct This indemnification obligation survives termination of these Terms and your use of the platform. We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense. You agree to cooperate with our defense of such claims.

YOUR LICENSE: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for its intended personal, non-commercial purpose, subject to these Terms. RESTRICTIONS: You may NOT: • Copy, modify, or create derivative works of the platform • Reverse engineer, decompile, or disassemble any software • Remove or modify any proprietary notices • Use our trademarks without written permission • Frame or mirror any part of the platform • Use automated systems to extract data (scraping) • Sell, rent, or sublicense access to the platform USER CONTENT: You retain ownership of content you submit but grant us rights to use it for platform operations. You represent that you have all rights to content you submit.

19. Account Suspension and Termination

20. Dispute Resolution and Arbitration
DISPUTES BETWEEN USERS: • Disputes between task posters and helpers should be resolved directly between the parties • We encourage documentation of agreements and open communication • We may provide message records to assist resolution but are not obligated to intervene • We do not mediate, arbitrate, or resolve disputes between users • You release Chores Ninja from any claims arising from disputes with other users DISPUTES WITH CHORES NINJA: PLEASE READ THIS CAREFULLY. IT AFFECTS YOUR RIGHTS. INFORMAL RESOLUTION: Before filing a claim, you agree to contact us at support@choresninja.com to attempt to resolve the dispute informally for at least 30 days. BINDING ARBITRATION: • If informal resolution fails, disputes will be resolved through binding arbitration • Arbitration will be conducted by a neutral arbitrator under applicable rules • Arbitration is conducted on an individual basis only (no class actions) • The arbitrator's decision is final and binding • Judgment on the award may be entered in any court of competent jurisdiction • You waive your right to a jury trial • You waive your right to participate in a class action lawsuit or class-wide arbitration EXCEPTIONS: Either party may bring suit in court for: • Injunctive or equitable relief • Intellectual property disputes • Small claims court matters CLASS ACTION WAIVER: You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class or representative action. The arbitrator may not consolidate claims or conduct class proceedings. 22. Governing Law and Jurisdiction
APPLICABLE LAW: • These Terms are governed by the laws of the State of North Carolina and the United States of America • Federal Arbitration Act governs the arbitration provisions • Choice of law provisions do not apply JURISDICTION: • Subject to the arbitration provisions, you agree to submit to the personal and exclusive jurisdiction of courts located in Durham County, North Carolina • Any arbitration proceedings will be located in Durham County, North Carolina unless otherwise agreed • Venue for any court proceedings shall be in Durham County, North Carolina You waive any objections to venue or forum in these locations.
23. General Provisions
SEVERABILITY: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect. WAIVER: Our failure to enforce any right or provision does not constitute a waiver of that right or provision. ASSIGNMENT: You may not assign or transfer these Terms or your account. We may assign these Terms without restriction. ENTIRE AGREEMENT: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Chores Ninja. NO THIRD-PARTY BENEFICIARIES: These Terms do not create any third-party beneficiary rights. HEADINGS: Section headings are for convenience only and do not affect interpretation. INTERPRETATION: In case of conflict between these Terms and any translation, the English version controls. FORCE MAJEURE: We are not liable for delays or failures due to causes beyond our reasonable control.
